Terms of Service

1. Acceptance of Terms

By accessing or using Video to Reels (the "Service"), operated by HEALING CARE S.R.L., a company incorporated in Romania ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Your Account

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us of any unauthorized use of your account
• Not create more than one personal account
• Not transfer your account to another person without our written permission

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Content Ownership

3.1 Your Content

You retain full ownership of all content you create, upload, or publish through the Service, including but not limited to videos, images, text, audio, and project data. By using the Service, you grant us a limited, non-exclusive license to process, store, and render your content solely for the purpose of providing the Service to you.

3.2 Stock Media

Stock media accessed through the Service (e.g., Pexels images and videos) is subject to the respective provider's license terms. You are responsible for ensuring your use of stock media complies with those terms.

3.3 AI-Generated Content

Content suggestions and modifications made by the AI assistant are tools to assist your creative process. You are responsible for reviewing and approving all AI-generated edits before publishing. You retain ownership of the final output.

4. Social Media Publishing

By connecting social media accounts and using publishing features, you agree to:

• Authorize us to publish content to your connected accounts on your behalf
• Comply with each social platform's terms of service and community guidelines
• Ensure you have the right to publish all content you schedule
• Accept that we are not responsible for content rejection by social platforms
• Understand that publishing failures may occur due to platform API changes, token expiry, or rate limits

We store your social media OAuth tokens securely (encrypted with AWS KMS) and only use them for authorized publishing actions. You can revoke access at any time by disconnecting your social accounts.

5. Prohibited Use

You agree not to use the Service to:

• Create, distribute, or publish content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringe upon the intellectual property rights of others
• Distribute malware, viruses, or any other harmful software
• Attempt to gain unauthorized access to other accounts or systems
• Use automated tools to scrape, mine, or extract data from the Service
• Circumvent or disable any security features of the Service
• Resell or redistribute the Service without our written permission
• Use the Service for spam, bulk messaging, or unsolicited promotion

6. Subscriptions and Payments

Some features of the Service require a paid subscription. By subscribing, you agree to:

• Pay the applicable subscription fees at the beginning of each billing period
• Accept automatic renewal unless you cancel before the next billing date
• Provide valid payment information through our payment processor (Stripe)

We reserve the right to change subscription pricing with 30 days notice. You may cancel your subscription at any time, and it will remain active until the end of the current billing period.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We do not guarantee uninterrupted or error-free operation of the Service
• We are not liable for any content published to your social accounts through the Service
• We are not responsible for failures in scheduled post delivery due to third-party API issues
• Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages

8. Indemnification

You agree to indemnify and hold harmless VideoToReels, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your content, or your violation of these Terms.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Service or sending you an email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania and the directly applicable laws of the European Union. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, and if not resolved, through the competent courts of Cluj-Napoca, Romania (or, for consumers, the competent court at the consumer's place of residence as permitted by applicable EU consumer-protection law).

11. Public Authority Request Handling Policy

We take a principled, narrow approach to requests from public authorities (governments, regulators, law-enforcement agencies) for user personal data. The following five rules govern our response to every such request.

1. All requests from public authorities for user personal data are reviewed by the company’s legal counsel (or, while the company operates without in-house counsel, by the founder with documented external counsel review) for legality under the requesting jurisdiction’s law before any disclosure.
2. Where a request is determined to be unlawful, overbroad, or contrary to fundamental rights, we will challenge it through the appropriate legal mechanism before complying.
3. Disclosed data is limited to the specific records named in the request; we do not provide bulk or speculative datasets.
4. Each request, our legal review, the actors involved, and the final response are recorded in a private incident log retained for at least five (5) years.
5. Where local law permits, affected users are notified of any disclosure.

We publish an annual transparency report summarising the aggregate number and category of requests received and how we responded. Inquiries about this policy can be sent to the address in Section 12 below.
